CORPORATE TERMS AND CONDITIONS – HOSPITALITY LEADERS CLUB™ CORPORATE MEMBERSHIP

These Terms and Conditions apply to all Corporate Memberships of Hospitality Leaders Club™, operated by Between Forks e.U., Vienna, Austria.
By entering into a Corporate Membership Agreement, the organisation confirms that it has read, understood and agrees to all terms below.


1. Nature of the Corporate Membership

Hospitality Leaders Club™ Corporate Membership is a 12-month organisational agreement that grants multiple leaders within an organisation access to the Hospitality Leaders Club™ ecosystem.

Corporate Membership provides access to:

  • Individual Membership seats for designated leaders
  • Member-only events and experiences
  • Leadership content and private communities
  • Curated professional opportunities
  • Strategic networking and leadership circles
  • Ecosystem-wide collaboration opportunities

Corporate Membership is not:

  • A consulting engagement
  • A coaching or training programme
  • A job placement or recruitment service
  • A legal, financial, HR or business advisory service
  • A guarantee of a fixed number of events

Corporate Membership provides opportunities, not entitlements.


2. Corporate Structure: Seats and Leader Participation

2.1 Number of Seats

Corporate Membership includes a specific number of individual seats (“Corporate Seats”), agreed in the Corporate Membership Agreement.

2.2 Seat Assignment

The organisation may assign each Corporate Seat to one leader at a time.
Seat holders must:

  • be senior professionals
  • respect the culture and standards of the Club
  • comply with all Member responsibilities

2.3 Seat Transfers

Seat transfers within the organisation are permitted, under the following conditions:

  • Transfers are allowed a maximum of 2 times per seat per year
  • Transfers must be communicated in writing to the Club
  • Transfers must not be used to rotate large numbers of employees through the ecosystem
  • New seat holders must accept all Terms & Conditions

2.4 Prohibited Practices

The organisation may not:

  • rotate an unlimited number of employees through a single seat
  • share seat access internally
  • assign seats to third-party entities or contractors
  • use seats as perks, rewards or general staff benefits

Corporate Seats are intended for designated leaders, not general employees.


3. Annual Corporate Agreement (Mandatory)

Corporate Membership operates exclusively on a 12-month organisational commitment.

This commitment exists to protect:

  • the continuity and stability of leadership development
  • the integrity and quality of the ecosystem
  • privacy and confidentiality
  • long-term collaboration between leaders
  • strategic alignment between the organisation and the Club

Short-term or temporary involvement is not permitted.


4. Payment Structure

Corporate Membership fees follow the structure below:

4.1 Invoicing Options

The organisation may select one of the following:

  • Annual Invoice – One single invoice per year (recommended)
  • Semi-Annual Invoice – Two instalments per year (every 6 months)
  • Quarterly Invoice – Four instalments per year (typically used for larger corporate structures)
  • Custom Fiscal Alignment – Upon request and approval

4.2 Payment Terms

  • Invoices must be paid within the payment period stated (typically 14–30 days).
  • Late payments may result in suspension of all Corporate Seats.
  • All fees are due regardless of participation level.
  • Monthly invoices are not available for Corporate Memberships.

4.3 Currency

All fees are payable in Euros (€), unless otherwise stated in the agreement.


5. No Refund Policy

To protect the integrity of the Club:

  • No refunds
  • No partial refunds
  • No cancellations
  • No freezes or pauses
  • No credits
  • No rollovers to the next year

Corporate Membership is a full-year organisational commitment, regardless of:

  • internal restructuring
  • leadership turnover
  • managerial or personnel changes
  • participation levels of seat holders

In exceptional cases of severe organisational crisis, the organiser may review the matter at their discretion.
This is not a contractual right.


6. Organisational Responsibilities

The organisation agrees to ensure that all participating leaders:

  • behave professionally and respectfully
  • maintain confidentiality
  • act ethically and with integrity
  • avoid harassment or discriminatory behaviour
  • do not engage in sales, pitching or lead generation
  • respect boundaries and privacy
  • protect the culture of the ecosystem

The organisation is responsible for the conduct of all leaders included under its Corporate Membership.


7. Confidentiality and Conduct

The following rules apply to all leaders under the Corporate Membership:

Strictly prohibited:

  • Recording conversations
  • Screenshots or capturing internal content
  • Sharing internal materials with non-members
  • Mentioning names or stories externally without consent
  • Excessive self-promotion or aggressive sales approaches
  • Extracting contacts for recruitment, funnels or competing communities

Any breach may result in immediate removal of the leader or termination of the Corporate Membership without refund.


8. Data Protection (GDPR)

Between Forks e.U. applies the highest standards of GDPR compliance.

Corporate data and leader data are:

  • stored securely
  • treated confidentially
  • never shared or sold
  • used solely for operational purposes

The organisation and its participating leaders have GDPR rights including:

  • access
  • correction
  • deletion under legal conditions
  • restriction of processing
  • data portability

Misuse of data by the organisation or any of its leaders may result in termination and legal consequences.


9. Suspension or Termination

The organiser may suspend or terminate the Corporate Membership if:

  • seat holders violate confidentiality
  • the organisation misuses data
  • payment obligations are not met
  • leaders engage in abusive or unethical behaviour
  • the organisation attempts to exploit the ecosystem
  • the Corporate Membership is used for sales, lead generation or recruitment

Termination does not entitle the organisation to any refund.


10. Changes to Corporate Membership Structure

Hospitality Leaders Club™ may modify:

  • benefits
  • features
  • event calendar
  • number or nature of gatherings
  • structure of the ecosystem

Such changes do not entitle the organisation to refunds or compensation.


11. Liability

Between Forks e.U. is not responsible for:

  • business decisions of participating leaders
  • emotional responses
  • missed opportunities
  • technical issues
  • cancellations of events
  • conversations between leaders

Liability is strictly limited to the Corporate Membership fee.


12. Dispute Resolution

Any disputes arising from Corporate Membership are governed by Austrian law.
Exclusive jurisdiction lies with the courts of Vienna, Austria.
